Terms of Service

    These Terms of Service ("Terms") govern your access to and use of the Agensi platform, available at agensi.io ("Platform"), operated by Agensi BV, a company registered in the Netherlands ("Agensi," "we," "us," or "our").

    By creating an account, browsing the Platform, purchasing a skill, purchasing credit top-ups, connecting an agent, or listing a skill for sale, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

    1. Eligibility

    You must be at least 18 years of age to use the Platform. By using Agensi, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

    2. Accounts

    You must create an account to purchase skills, purchase credit top-ups, use skills through an agent, or list skills for sale. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity by an agent you have connected to it. You agree to provide accurate and complete information during registration and to keep it up to date. Agensi reserves the right to suspend or terminate accounts that violate these Terms.

    2.1 Connecting an Agent

    Agents connect to Agensi by signing in with your Agensi account through the Agensi connector. One agent can be connected to an account at a time: connecting a new agent disconnects the previously connected one. Agensi no longer offers API keys for agents, and agents that cannot sign in through the connector are not supported.

    3. The Marketplace

    Agensi is a marketplace that connects skill creators ("Creators") with skill users ("Buyers"). Agensi is not the author or publisher of skills listed on the Platform. Each skill is created, uploaded, and maintained by its respective Creator. Agensi provides the infrastructure for discovery, payment processing, delivery through the agent connection, credit-based access, and IP protection.

    3.1 Search Ranking

    Search results on the website and through the agent connection are ranked mainly by how closely a listing's name, tags, description, use cases and compatibility match the search. Paid skills receive a ranking boost, so a paid skill ranks ahead of a free skill that matches about as well (at least 80% as relevant), but not ahead of a free skill that is a much better match. Where results are ordered by AI-assessed relevance, they are grouped into high, medium and low relevance, and paid skills come first within each group. Without a search, the default "Trending" order ranks skills by recent unique installs and uses by people other than the creator, with all-time installs and views as a tie-breaker. Users may also sort by newest, most installed, best rated or most voted.

    4. Credits

    4.1 Credit Top-Ups

    Credits are bought as one-time top-ups. 1 credit equals $1. Top-ups start at $5, with options of $5, $10, $20, $50 or a custom amount. Top-ups carry no bonuses or discounts. Prices are in US Dollars, and VAT or sales tax is added at checkout where it applies.

    The Starter and Pro credit plans are no longer offered. Existing credit balances, including balances from those plans, were converted to dollar credit at their full value.

    Enterprise plans with custom credit volumes, team seats, shared skill libraries, SSO, SCIM provisioning, and SLAs are available by contacting info@agensi.io.

    4.2 How Credits Work

    Credits can be spent on paid one-time skills and bundles on the Agensi website or through your connected agent. A skill's credit cost equals its dollar price. Each credit purchase grants permanent ownership of the skill, identical to a direct card purchase. Subscription skills cannot be bought with credits.

    Free skills do not cost credits and can be used without a credit balance.

    4.3 Credit Expiry

    Credit top-ups are valid for 12 months from the date of purchase. Converted balances keep the expiry date they already had — 12 months from when they were originally bought. Credits that came from the old Starter and Pro plans remain valid until October 12, 2027. Expired credits are forfeited and are not refundable.

    4.4 Buying Through Your Agent

    The Agensi agent connection is free to use. Any agent can search the catalogue without signing in. Using paid skills requires a signed-in agent and either credit or a card purchase.

    Your agent asks for your approval before every purchase. You are responsible for purchases you approve through your agent. A credit purchase can never exceed your credit balance; if your balance is too low, your agent shows you a top-up link instead.

    Agensi makes reasonable efforts to keep the agent connection available but does not guarantee uptime. Planned maintenance or unexpected outages may temporarily interrupt access.

    4.5 Refunds of Top-Ups

    Credit top-ups are covered by a 30-day refund guarantee. Contact info@agensi.io within 30 days of the charge and we will refund the unused portion of the top-up, less any credits already spent. Refunds are processed via Stripe to the original payment method.

    5. Individual Skill Purchases

    5.1 One-Time Purchases

    Skills from $5 may be purchased individually by card, on the website or through a payment link your agent shows you. Skills under $5 can be bought with credit only, and the minimum price for a paid skill is $1. Upon completing a purchase, you receive a permanent, personal, non-transferable licence to use the skill through your agent. Agensi is the merchant of record for your purchase. Prices shown are exclusive of VAT or sales tax; any applicable tax is calculated and added at checkout based on your billing country, and is collected and remitted by Agensi.

    5.2 Delivery

    Skills are delivered only through the Agensi agent connection. Your connected agent loads the skill each time you use it, always in its latest version. Nothing is downloaded or saved to your device, and agents may not save skill files. Skill files are not available for download, and your licence does not allow you to save, copy or export any part of a skill. You keep every skill you bought. Creators can still download their own skills.

    5.2a Subscription Skills

    Some skills are sold as monthly subscriptions. Subscription skills are billed monthly by card, renew automatically, and can be cancelled at any time; access continues until the end of the paid month. Subscription skills run on Agensi's servers and their instructions are not handed to your agent.

    5.3 Updates

    When a Creator publishes an update to a skill you own (by card or credit), your agent uses the updated version automatically, free of charge, the next time it loads the skill. Creator updates are reviewed before they go live.

    5.4 Bundles

    Creators may offer bundles of multiple skills at a combined price. Purchasing a bundle grants you ownership of all included skills under the same license terms. If you already own one or more skills in a bundle, you may be eligible for a reduced price.

    5.5 Refunds

    Individual skill purchases are covered by a 30-day refund guarantee. If a skill does not do what its page promises, contact info@agensi.io within 30 days of purchase and we will issue a full refund. Card purchases are refunded via Stripe to the original payment method; credit purchases are refunded to your Agensi credit balance. This applies to card purchases, credit purchases and bundles alike. Refunding a purchase removes the access granted by that purchase. We may decline refunds where we detect abuse of this guarantee, such as repeated purchase-and-refund patterns.

    6. Listing and Selling Skills

    6.1 Creator Requirements

    To list a skill for sale, you must create an account and set up a payout method. You may either connect a Stripe account via Stripe Connect, or onboard with Zoneless, our stablecoin payout partner, to receive payouts in USDC on Solana. Zoneless onboarding happens on a page hosted by Zoneless, where you provide your payout wallet and any details Zoneless requires; Zoneless is the party that verifies your account and enables payouts. Where you have both an active Stripe Connect account and a Zoneless account, Stripe Connect is used for your payouts. You may not publish a paid skill until one of these payout methods is set up and enabled.

    6.2 Skill Submission and Review

    All skills must be submitted as a zip file containing a valid SKILL.md file with the required frontmatter fields. Every uploaded skill is automatically subjected to an 8-point security scan covering file structure validation, file type screening, dangerous command pattern detection, secrets detection, environment variable harvesting analysis, network access auditing, obfuscation detection, and prompt injection screening. Each skill receives a security score from 0 to 100. Skills that fail the automated scan may be rejected or flagged for additional scrutiny. After the automated scan, Agensi reviews each submission manually before it goes live. Agensi reserves the right to reject, remove, or suspend any skill listing at its sole discretion, including for quality, safety, or policy reasons. The security scan is a best-effort measure and does not guarantee that a skill is free from all vulnerabilities, malicious patterns, or unintended behavior.

    6.3 Creator Representations

    By listing a skill, you represent and warrant that you are the original author of the skill or have all necessary rights to distribute it, the skill does not infringe upon the intellectual property rights of any third party, the skill does not contain malicious code, backdoors, or any functionality designed to harm users or their systems, and the listing description accurately describes the skill's functionality.

    6.3a Off-Platform Sales

    Listings, descriptions, sample outputs and skill packages may not link to, promote or upsell paid versions, upgrades or related products sold outside Agensi, including through Gumroad, Whop, Lemon Squeezy, Payhip, Ko-fi, Patreon, Stripe payment links or similar checkout pages. Linking to your own documentation, website or source repository is allowed. Agensi may remove such links from any listing without notice and may reject, suspend or remove listings that contain them.

    6.4 Pricing and Fees

    Creators set the price for their skills. The minimum price for paid skills is $1.00. Skills priced under $5 can be bought with credit only. The credit cost equals the dollar price (1 credit = $1).

    Revenue is distributed as follows for all transactions:

    • Creator receives 70% of the net sale price, excluding VAT or sales tax
    • Agensi retains 30% of the net sale price as a platform fee

    Agensi is the merchant of record for all sales (see Section 7.5) and calculates, collects, and remits any VAT or sales tax due on the sale to the buyer. Tax collected from buyers is never part of the amount split between Agensi and the creator.

    This applies to card purchases, credit purchases (on the website or through an agent), subscription skill payments, and bundle purchases. When a sale is refunded, the Creator's share of that sale is reversed. All payment processing costs are included in the platform fee. Creators are never charged additional processing fees.

    6.5 Agent Distribution

    Every live listing is available through the Agensi agent connection and can be bought with credit, and with card from $5. Creators cannot opt listings out of agent distribution or the credit system.

    6.6 First-Use Notifications

    The first time a signed-in user other than you uses one of your skills through their agent, Agensi notifies you once, in your dashboard and by email if you have email notifications on. The notification names the skill and shows the user's Agensi display name (or "Someone" if they have none). It does not share the user's email address or any other contact details.

    7. Revenue and Payouts

    7.1 Revenue Splits

    • All skill sales (card purchases, credit purchases, subscriptions, bundles): Creator 70%, Agensi 30%
    • Refunded sales: the Creator's share is reversed
    • Expired credits: 100% Agensi

    Agensi reserves the right to modify the revenue split with 30 days' notice to active Creators. The updated split applies to sales made after the effective date of the change.

    7.2 Payouts

    Payouts are processed via Stripe Connect. Card purchase payouts are processed according to Stripe's standard payout schedule. Credit purchase earnings are aggregated monthly and transferred to your Stripe Connect account. You can view your payout schedule and history in your Stripe Dashboard.

    7.3 USDC Payout Cadence

    Creators who select USDC (Solana) payouts are paid through Zoneless rather than through Stripe. Earnings accrue as a pending balance in your Creator dashboard as sales settle. Each amount becomes payable 72 hours after the underlying transaction settles, and Agensi releases it to your Zoneless account and on to your payout wallet automatically at the next payout run after that 72-hour period. Payout runs happen multiple times per day. Agensi may hold a balance beyond 72 hours where a transaction is under review for fraud, chargeback, refund, or policy reasons, where Zoneless has not yet enabled payouts on your account, or where a technical or network failure prevents settlement.

    7.3a Zoneless as Payout Processor

    Zoneless is an independent third-party payment processor. When you onboard with Zoneless, your relationship with Zoneless is governed by their own terms and privacy policy, and you authorise Agensi to create a connected account for you with Zoneless, to share the information needed to operate payouts (including your Agensi user identifier, email address, and payout amounts), and to instruct transfers and payouts on your behalf. Agensi does not control Zoneless's services, uptime, fees, compliance checks, or policies, and is not liable for delays, holds, or failures caused by Zoneless. Zoneless may require additional information from you, or may decline or suspend payouts to your account, in which case you may need to connect Stripe Connect to receive your earnings.

    7.4 Blockchain Transfers and Creator Responsibility

    USDC payouts are sent as USDC on the Solana network, via Zoneless, to the payout wallet on file with your Zoneless account. Blockchain transactions are final and irreversible. You are solely responsible for the accuracy of your wallet address, for the security of your wallet and private keys, and for ensuring your wallet can receive USDC on Solana. Agensi is not liable for funds lost due to an incorrect or compromised wallet address, a lost private key, a wallet or exchange that does not support USDC on Solana, or network-level failures outside our control. Payout amounts are denominated in US dollars and sent 1:1 in USDC; Agensi does not guarantee the market value of USDC. You are responsible for any taxes arising from your earnings, including any reporting obligations relating to digital assets in your jurisdiction. Agensi may suspend USDC payouts and require Stripe Connect instead where required by law or where we suspect fraud or sanctions exposure.

    You may switch between Stripe Connect and USDC payouts at any time from your Creator dashboard, subject to Stripe Connect taking precedence where both are active. Changing your payout wallet is done through Zoneless and may require Zoneless to re-verify your account before further payouts are sent. Any balance accrued before a switch is paid using the payout method active at the time the payout is made.

    7.5 Merchant of Record, Self-Billing and Tax

    Agensi is the merchant of record for all transactions on the Platform. Agensi sells skills to buyers in its own name, and is responsible for determining, charging, collecting, and remitting any VAT, GST, or sales tax due on the sale to the buyer. You do not need to determine buyer VAT status, charge tax to buyers, or issue invoices to buyers for sales made through the Platform. Agensi also handles refunds and chargebacks for these sales and makes transaction records covering sales, refunds, and chargebacks available to you in your Creator dashboard. Prices shown on the Platform are exclusive of VAT; applicable tax is added at checkout based on the buyer's billing country.

    You agree to a self-billing arrangement: Agensi issues invoices on your behalf, in your name, for the revenue share payable to you, and you will not issue separate invoices to Agensi for the same amounts. Each self-billed invoice is made available to you in your Creator dashboard, together with a monthly statement of your sales, fees, and payouts. You agree to notify us promptly if any details on a self-billed invoice are incorrect, and to keep your legal name, business details, country, and tax or VAT registration number in your account accurate and up to date. Where you are VAT-registered in a jurisdiction that requires it, you are responsible for accounting for the VAT on your own revenue share. You remain solely responsible for your own income, corporate, and other taxes arising from your earnings.

    Agensi may adjust or reissue a self-billed invoice and offset the difference against future payouts to correct errors, refunds, chargebacks, or reversed transactions. This arrangement continues for as long as you have an active Creator account, and either party may end it with 30 days' notice, after which you will invoice Agensi directly for amounts due.

    8. Intellectual Property

    8.1 Skill Ownership

    Creators retain full ownership of their skills. Listing a skill on Agensi does not transfer any intellectual property rights to Agensi. By listing a skill, you grant Agensi a non-exclusive, worldwide license to display, distribute, and deliver the skill through the Platform and the agent connection for the purpose of operating the marketplace.

    8.2 Buyer Licence

    When you acquire a skill (by card or credit), you receive a permanent, personal, non-transferable licence to use the skill through your agent. You may not copy, save, export, redistribute, resell, sublicense, or share the skill or its contents.

    8.3 Licence Notice

    Every paid skill loads with a licence notice that carries your order ID. The notice tells your agent that the skill is licensed to you and may not be reproduced or exported. This lets Creators and Agensi identify unauthorized copies. See our DMCA Policy for enforcement procedures.

    9. Prohibited Conduct

    You agree not to: redistribute, resell, or share purchased skills; circumvent or attempt to circumvent security measures, delivery protections, or licence notices; instruct an agent to save or export skill files; use the Platform or the agent connection for any unlawful purpose; upload skills containing malicious code, backdoors, or harmful functionality; create multiple accounts to abuse free tiers, referral programs, or credit systems; share your account or agent connection with other users or systems; use automated tools to scrape, copy, or extract skill content at scale; or engage in any activity that disrupts the Platform or harms other users.

    10. Limitation of Liability

    To the maximum extent permitted by law, Agensi is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, revenue, or profits. Agensi's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to Agensi in the 12 months preceding the claim.

    11. Disclaimer of Warranties

    The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Agensi does not warrant that the Platform will be uninterrupted, error-free, or secure. Agensi does not endorse, guarantee, or assume responsibility for any skill listed by Creators. Skills are provided by independent Creators and may contain errors, inaccuracies, or defects.

    12. Termination

    Agensi may suspend or terminate your account at any time for violation of these Terms, without prior notice. Upon termination, your right to use the Platform ceases immediately. Skills you own (by card or credit) remain usable through the agent connection for a reasonable period after termination, subject to Agensi's discretion.

    13. Governing Law and Disputes

    These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or your use of the Platform shall be submitted to the competent courts of Amsterdam, the Netherlands. If you are a consumer in the European Union, you may also have the right to submit disputes to the Online Dispute Resolution platform at ec.europa.eu/odr.

    14. Changes to These Terms

    Agensi may update these Terms at any time by posting the revised version on this page and updating the "Last updated" date. Material changes will be communicated to affected users. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
