Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agensi platform, available at agensi.io ("Platform"), operated by Agensi BV i.o., a company registered in the Netherlands ("Agensi," "we," "us," or "our").

By creating an account, browsing the Platform, purchasing a skill, subscribing to Agensi Pro, or listing a skill for sale, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years of age to use the Platform. By using Agensi, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Accounts

You must create an account to purchase skills, subscribe to Agensi Pro, access skills via the MCP server, or list skills for sale. You are responsible for maintaining the confidentiality of your account credentials and API keys and for all activity that occurs under your account, including activity through the MCP server using your API key. You agree to provide accurate and complete information during registration and to keep it up to date. Agensi reserves the right to suspend or terminate accounts that violate these Terms.

3. The Marketplace

Agensi is a marketplace that connects skill creators ("Creators") with skill users ("Subscribers" and "Buyers"). Agensi is not the author or publisher of skills listed on the Platform. Each skill is created, uploaded, and maintained by its respective Creator. Agensi provides the infrastructure for discovery, payment processing, delivery, MCP-based skill access, and IP protection.

4. Agensi Pro Subscription

4.1 Plans and Pricing

Agensi Pro is a recurring subscription that grants access to all skills on the Platform via the Agensi MCP server. Two plans are available: Monthly at $9 per month (launch price, normally $29), and Yearly at $90 per year (launch price, normally $348). Prices are in US Dollars. Launch pricing is locked in for life for subscribers who sign up during the promotional period. Agensi reserves the right to change subscription pricing with 30 days' notice to active subscribers.

4.2 What Agensi Pro Includes

Active Agensi Pro subscribers receive MCP server access, allowing their AI agent to discover and load any skill on Agensi on demand via mcp.agensi.io. Subscribers also receive access to all current and future skills on the Platform for the duration of the subscription, skill updates as they are published by Creators, and priority support from Agensi.

4.3 MCP Server Access

Agensi Pro subscribers receive an API key that connects their AI agent to the Agensi MCP server. The API key is personal to your account and may not be shared, published, or distributed. One API key is issued per subscription. If Agensi detects that an API key is being shared across multiple users or systems beyond reasonable personal use, Agensi may revoke the key and suspend the subscription without refund. The MCP server provides skill content to your agent on demand. Skills accessed via MCP are streamed to your agent at runtime and are not permanently stored on your device unless you also purchase the skill individually. Agensi makes reasonable efforts to maintain MCP server availability but does not guarantee uptime. Planned maintenance or unexpected outages may temporarily interrupt access. MCP access is not a substitute for individual skill ownership.

4.4 Cancellation

You may cancel your Agensi Pro subscription at any time. Upon cancellation, your subscription remains active until the end of the current billing period. After the billing period ends, you lose access to the MCP server, new skill downloads, and skill updates. Any skills you downloaded as files during your subscription remain yours permanently.

4.5 Renewal

Subscriptions renew automatically at the end of each billing period unless canceled. For monthly plans, this is every month. For yearly plans, this is every 12 months. You will be charged via the payment method on file with Stripe. If a renewal payment fails, Agensi may retry the charge according to Stripe's retry schedule. If payment cannot be collected after retries, the subscription will be canceled and MCP access revoked.

4.6 Refunds

Subscription refunds are handled on a case-by-case basis. Because Agensi Pro grants immediate access to digital content, refunds are not guaranteed. If you experience a technical issue that prevents you from using the subscription, contact info@agensi.io within 14 days.

5. Individual Skill Purchases

5.1 One-Time Purchases

Skills may also be purchased individually as one-time purchases. Upon completing a purchase, you receive a permanent, personal, non-transferable license to download, install, and use the skill. Individual purchases are separate from Agensi Pro and are not affected by subscription status.

5.2 Delivery

After purchase, you will receive access to a signed, expiring download URL valid for 24 hours. You may generate a new download link at any time from your dashboard. Every download is uniquely fingerprinted (see Section 13).

5.3 Updates

When a Creator publishes an update to a skill you own through individual purchase, you may download the updated version free of charge from your dashboard.

5.4 Bundles

Creators may offer bundles of multiple skills at a combined price. Purchasing a bundle grants you ownership of all included skills under the same license terms. If you already own one or more skills in a bundle, you may be eligible for a reduced price.

5.5 Refunds

Refund requests for individual purchases are handled on a case-by-case basis. Because skills are digital goods that are delivered immediately upon purchase, refunds are not guaranteed. If a skill is materially defective or does not match its listing description, you may request a refund by contacting info@agensi.io within 14 days of purchase. Agensi reserves the right to approve or deny refund requests at its sole discretion.

6. Listing and Selling Skills

6.1 Creator Requirements

To list a skill for sale, you must create an account and connect a Stripe account via Stripe Connect. You may not publish a skill until your Stripe account is connected and verified.

6.2 Skill Submission and Review

All skills must be submitted as a zip file containing a valid SKILL.md file with the required frontmatter fields. Every uploaded skill is automatically subjected to an 8-point security scan covering file structure validation, file type screening, dangerous command pattern detection, secrets detection, environment variable harvesting analysis, network access auditing, obfuscation detection, and prompt injection screening. Each skill receives a security score from 0 to 100. Skills that fail the automated scan may be rejected or flagged for additional scrutiny. After the automated scan, Agensi reviews each submission manually before it goes live. Agensi reserves the right to reject, remove, or suspend any skill listing at its sole discretion, including for quality, safety, or policy reasons. The security scan is a best-effort measure and does not guarantee that a skill is free from all vulnerabilities, malicious patterns, or unintended behavior.

6.3 Creator Representations

By listing a skill, you represent and warrant that you are the original author of the skill or have all necessary rights to distribute it, the skill does not infringe upon the intellectual property rights of any third party, the skill does not contain malicious code, backdoors, or any functionality designed to harm users or their systems, and the listing description accurately represents the skill's functionality and contents.

6.4 Revenue Split — Individual Purchases

For individual skill purchases, Creators receive 80% of each sale. Agensi retains 20% as a platform fee. Payouts are processed through Stripe Connect according to Stripe's payout schedule.

6.5 Revenue Split — Agensi Pro Subscription Pool

Subscription revenue is distributed to Creators monthly through a pool-based model. At the end of each calendar month, Agensi calculates total net subscription revenue (total subscription revenue minus all sale-related costs, including Stripe processing fees and platform costs). 70% of net subscription revenue is allocated to the Creator pool. 30% is retained by Agensi. The Creator pool is distributed proportionally based on each Creator's share of unique skill loads during that month. A "unique skill load" means one distinct user loading one distinct skill for the first time in a given month. If the same user loads the same skill multiple times in the same month, it counts as one unique skill load. All skills are weighted equally regardless of the skill's individual purchase price, if any. Payout amounts and calculations are visible to Creators in their dashboard.

6.6 Consent to MCP Distribution

By listing a skill on Agensi, you consent to that skill being made available to Agensi Pro subscribers via the MCP server. Skill content served via MCP is streamed to the subscriber's agent at runtime. This is a condition of listing on the Platform. If you do not wish your skill to be available via MCP, do not list it on Agensi.

6.7 Referral Commissions

Creators receive a unique referral link. When a referred user makes any purchase or subscribes to Agensi Pro within 30 days of clicking the link, the referring Creator earns a 10% referral commission on that transaction. Referral commissions are paid from Agensi's platform fee share and do not affect the selling Creator's revenue share. The first referrer wins in cases of multiple referral attribution. Referral commissions are paid out via Stripe alongside regular earnings.

7. Skill Requests and Bounties

7.1 Requesting Skills

Any registered user may submit a skill request describing a skill they wish existed. Requests may include an optional bounty — a monetary amount the requester is willing to pay for a satisfactory solution.

7.2 Submitting Solutions to Requests

Creators may submit a skill zip directly on a request page as a proposed solution. Submitted skills undergo the same automated security scan described in Section 6.2. The requester sees a preview of the submission (skill name, description, frontmatter metadata, and security scan results) but does not see the full SKILL.md content until they accept.

7.3 Accepting and Payment

For bounty requests, accepting a submission triggers a payment via Stripe. The Creator receives 80% of the bounty and Agensi retains 20%. For non-bounty requests, accepting a submission makes the skill available to the requester at no cost. Accepting a submission marks the request as fulfilled. Agensi is not a party to the agreement between the requester and the Creator regarding the suitability of the skill for the requester's needs.

7.4 Bounty Disputes

Bounty payments are final once the requester accepts a submission. Agensi does not arbitrate disputes about whether a skill adequately fulfills a request. If you are a requester, review the submission preview and security scan results carefully before accepting.

8. Messaging

The Platform provides a messaging system for buyers and creators to communicate about specific skills, and a public discussion thread on skill requests. Messages are subject to these Terms, including the Prohibited Conduct section. Agensi may review message content to enforce these Terms or respond to reports of abuse. Agensi is not responsible for the content of messages sent between users. Users may not use the messaging system to spam, harass, or send unsolicited commercial messages.

9. License Grant

9.1 To Subscribers (MCP Access)

An active Agensi Pro subscription grants you a personal, non-exclusive, non-transferable, non-sublicensable license to access and use skill content streamed to your AI agent via the Agensi MCP server for the duration of your subscription. Skills accessed via MCP are licensed for runtime use only. You may not capture, store, redistribute, or reverse-engineer skill content received via MCP, except where you have also purchased the skill individually.

9.2 To Buyers (Individual Purchases)

Upon individual purchase, the Creator grants you a personal, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the skill on your own devices and within your own projects. You may not redistribute, resell, sublicense, publicly share, or make the skill available to third parties in any form.

9.3 To Agensi (From Creators)

By listing a skill on the Platform, you grant Agensi a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote the skill listing on the Platform, serve the skill content to Agensi Pro subscribers via the MCP server, inject a buyer-specific fingerprint into the SKILL.md frontmatter and a LICENSE.md file into the download zip at delivery time, and use the skill name, description, and metadata in connection with operating the Platform, including in the public catalog API, MCP server catalog, and agent-native discovery features.

10. Prohibited Conduct

You agree not to redistribute, share, or resell any purchased or MCP-accessed skill, share, publish, or distribute your Agensi Pro API key, use automated systems to bulk-download or bulk-capture skill content served via MCP, upload skills that contain malicious code, malware, or any functionality intended to harm users or systems, upload skills that infringe upon the intellectual property rights of any third party, circumvent or attempt to circumvent the Platform's security measures, fingerprinting, API authentication, or download protections, create multiple accounts to abuse subscriptions, free downloads, referral commissions, or other Platform features, use the Platform for any unlawful purpose, or scrape, crawl, or systematically access the Platform or MCP server in a manner that exceeds reasonable use or violates rate limits.

11. Intellectual Property

11.1 Creator Ownership

Creators retain full ownership of the intellectual property in their skills. Listing a skill on Agensi does not transfer ownership to Agensi or to Buyers or Subscribers.

11.2 Buyer and Subscriber Restrictions

Buyers and Subscribers receive a license, not ownership. You may not claim authorship of a purchased or accessed skill, remove or alter the fingerprint or license information embedded in a skill, or reverse engineer a skill for the purpose of redistribution.

11.3 Agensi Platform

All Platform content, including but not limited to the Agensi name, logo, website design, MCP server infrastructure, and proprietary features, is owned by Agensi and may not be used without written permission.

12. Anti-Piracy and IP Protection

12.1 Buyer Fingerprinting

Every skill file download is uniquely fingerprinted at generation time. A unique identifier is embedded in the SKILL.md frontmatter. This identifier is linked to your account and download record in Agensi's database. Fingerprinting is designed to be invisible to agent runtimes and does not affect the skill's functionality.

12.2 Signed Download URLs

Download links are cryptographically signed, scoped to your authenticated session, and expire after 24 hours. You may generate a fresh link at any time from your dashboard.

12.3 MCP Access Controls

MCP server access is authenticated via API key and restricted to active Pro subscribers. Skill content served via MCP is not fingerprinted in the same way as file downloads, but access is logged and attributable to your account.

12.4 Piracy Reporting

Creators may report suspected piracy through their dashboard. If the leaked content contains a valid fingerprint, Agensi will identify the associated account and provide enforcement options. See our DMCA Policy for takedown procedures.

12.5 Enforcement

Violation of the license terms, including redistribution of purchased or MCP-accessed skills or sharing of API keys, may result in a warning to the offending account, revocation of the API key and MCP access, temporary or permanent account suspension, forfeiture of purchased skills, and legal action where appropriate.

13. Disclaimers

The Platform, MCP server, and all skills listed on it are provided "as is" and "as available" without warranties of any kind, whether express or implied. Agensi does not guarantee that any skill will meet your requirements, function without errors, or produce specific results. Agensi does not guarantee MCP server uptime or availability. Agensi is not responsible for the content, quality, accuracy, safety, or security of skills created by third-party Creators. While Agensi performs automated security scanning and manual review on skill submissions, these measures are best-effort and do not constitute a guarantee that any skill is free from vulnerabilities, malicious code, bugs, or unintended behavior. You acknowledge that skills are instruction sets executed by AI agents with access to your system, files, environment variables, and API keys. You assume all risk associated with installing and using skills obtained through the Platform or MCP server, including any damage to your system, data loss, credential exposure, or other harm. Agensi is not and shall never be liable for any consequences arising from your use of any skill, whether free, paid, or accessed via MCP, scanned or unscanned.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Agensi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, MCP server, or any skill purchased or accessed through it, including but not limited to loss of data, loss of profits, or damage to your systems. Agensi's total aggregate liability for any claim arising from these Terms shall not exceed the amount you paid to Agensi in the 12 months preceding the claim, or €100, whichever is greater.

15. Indemnification

You agree to indemnify and hold harmless Agensi, its owner, and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform or MCP server, your violation of these Terms, your violation of any third-party rights, or any skill you list on the Platform (if you are a Creator).

16. Termination

Agensi may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your license to use any individually purchased skills survives, but your access to the Platform, MCP server, and download functionality will cease. Any MCP access will be revoked immediately upon termination. You may request deletion of your account at any time by contacting info@agensi.io.

17. Modifications

Agensi reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. For active Agensi Pro subscribers, material changes to subscription terms will be communicated via email at least 30 days before taking effect. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

18. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or your use of the Platform shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands. If you are a consumer residing in the European Union, you retain any mandatory consumer protection rights afforded to you under the laws of your country of residence.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, DMCA Policy, and Stripe Payment Terms, constitute the entire agreement between you and Agensi regarding your use of the Platform.
