Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agensi platform, available at agensi.io ("Platform"), operated by Agensi BV i.o., a company registered in the Netherlands ("Agensi," "we," "us," or "our").

By creating an account, browsing the Platform, purchasing a skill, accessing skills via the MCP server, or listing a skill for sale, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years of age to use the Platform. By using Agensi, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Accounts

You must create an account to purchase skills, access skills via the MCP server, or list skills for sale. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity through the MCP server. You agree to provide accurate and complete information during registration and to keep it up to date. Agensi reserves the right to suspend or terminate accounts that violate these Terms.

3. The Marketplace

Agensi is a marketplace that connects skill creators ("Creators") with skill users ("Buyers"). Agensi is not the author or publisher of skills listed on the Platform. Each skill is created, uploaded, and maintained by its respective Creator. Agensi provides the infrastructure for discovery, payment processing, delivery, MCP-based skill access, and IP protection.

4. Agensi MCP Server

4.1 Access

The Agensi MCP server is free to connect to. Any user with an Agensi account can connect their AI agent to the MCP server at mcp.agensi.io to search, browse, and discover skills on the Platform at no cost.

4.2 How It Works

When connected, your AI agent can search the skill catalog, browse categories, view skill details, and suggest skills mid-conversation. Free skills discovered via MCP can be installed directly. Paid skills discovered via MCP require a one-time purchase through the Platform before they can be used. The same marketplace commission applies to purchases made through agent-native discovery.

4.3 Availability

Agensi makes reasonable efforts to maintain MCP server availability but does not guarantee uptime. Planned maintenance or unexpected outages may temporarily interrupt access.

4.4 Acceptable Use

The MCP server is provided for personal and professional use. You may not use the MCP server to systematically scrape, copy, or redistribute the skill catalog or skill metadata. Agensi reserves the right to rate-limit or revoke MCP access for accounts that engage in abusive or excessive usage patterns.

5. Individual Skill Purchases

5.1 One-Time Purchases

Skills may be purchased individually as one-time purchases. Upon completing a purchase, you receive a permanent, personal, non-transferable license to download, install, and use the skill. Individual purchases are not affected by any other account status.

5.2 Delivery

After purchase, you will receive access to a signed, expiring download URL valid for 24 hours. You may generate a new download link at any time from your dashboard. Every download is uniquely fingerprinted (see Section 12).

5.3 Updates

When a Creator publishes an update to a skill you own, you may download the updated version free of charge from your dashboard.

5.4 Bundles

Creators may offer bundles of multiple skills at a combined price that is lower than the total of the individual skill prices. Purchasing a bundle grants you ownership of all included skills under the same license terms as individual purchases. Each skill in the bundle appears in your library and can be downloaded independently. Bundle pricing is set by the Creator and must be strictly less than the sum of the individual skill prices. Bundles may only contain paid skills.

5.5 Refunds

Agensi offers a 30-day refund policy on skill purchases under the following conditions:

Non-downloaded purchases. If you purchased a skill or bundle and have not downloaded any of the included skills, you may request a full refund within 30 days of purchase. No questions asked. Contact info@agensi.io with your order details.

Misleading or inaccurate listings. If a skill does not match its listing description, does not function as advertised, or is materially defective, you may request a full refund within 30 days of purchase, even if you have downloaded the skill. Include a brief description of the discrepancy when contacting info@agensi.io.

What is not covered. Refunds are not available for skills that have been downloaded and function as described. Refunds are not available for purchases made more than 30 days ago. Refunds are not available if the buyer has violated these Terms, including redistributing or reverse-engineering the skill.

Processing. Approved refunds are processed via Stripe to the original payment method within 5-10 business days. When a refund is issued, the associated platform commission and creator payout are reversed accordingly.

Agensi reserves the right to deny refund requests that appear fraudulent or abusive, including repeated purchases and refunds of the same skill.

6. Listing and Selling Skills

6.1 Creator Requirements

To list a skill for sale, you must create an account and connect a Stripe account via Stripe Connect. You may not publish a paid skill until your Stripe account is connected and verified.

6.2 Skill Submission and Review

All skills must be submitted as a zip file containing a valid SKILL.md file with the required frontmatter fields. Every uploaded skill is automatically subjected to an 8-point security scan covering file structure validation, file type screening, dangerous command pattern detection, secrets detection, environment variable harvesting analysis, network access auditing, obfuscation detection, and prompt injection screening. Each skill receives a security score from 0 to 100. Skills that fail the automated scan may be rejected or flagged for additional scrutiny. After the automated scan, an AI screening agent reviews the findings to contextualize the results and flag false positives. Finally, Agensi reviews each submission manually before it goes live. Agensi reserves the right to reject, remove, or suspend any skill listing at its sole discretion, including for quality, safety, or policy reasons. The security scan is a best-effort measure and does not guarantee that a skill is free from all vulnerabilities, malicious patterns, or unintended behavior.

6.3 Creator Representations

By listing a skill, you represent and warrant that you are the original author of the skill or have all necessary rights to distribute it, the skill does not infringe upon the intellectual property rights of any third party, the skill does not contain malicious code, backdoors, or any functionality designed to harm users or their systems, and the listing description accurately represents the skill's functionality, limitations, and requirements.

6.4 Listing Accuracy

Creators are responsible for ensuring that their skill listing descriptions, feature claims, use cases, and sample outputs accurately represent the skill's actual functionality. Listings that are found to be misleading or materially inaccurate may be removed and may result in refunds being issued at the Creator's expense (see Section 5.5).

6.5 Pricing

Creators set their own prices for individual skills and bundles. Agensi does not dictate pricing but reserves the right to set minimum and maximum price thresholds. Bundle prices must be strictly less than the sum of the individual skill prices included in the bundle.

6.6 Versioned Updates

When a Creator submits an updated version of a live skill (new zip file), the update enters a review queue. The currently live version remains available to buyers while the update is in review. Upon approval, the new version replaces the previous one. Buyers who own the skill receive access to the updated version at no additional cost.

7. Revenue Share and Payouts

7.1 Marketplace Commission

Agensi charges a 20% commission plus $0.50 per transaction on all paid skill and bundle sales. The remaining 80% (minus the $0.50 transaction fee) is the Creator's share.

7.2 Payouts

Creator payouts are processed via Stripe Connect. Payout timing and frequency are determined by Stripe's standard payout schedule based on the Creator's country and Stripe account configuration.

7.3 Refund Impact on Payouts

When a refund is issued to a buyer, the corresponding Creator payout and Agensi commission are reversed. If a payout has already been disbursed, the refunded amount may be deducted from the Creator's future earnings.

8. Intellectual Property

8.1 Creator Ownership

Creators retain full ownership of their skills. By listing a skill on Agensi, you grant Agensi a non-exclusive, worldwide license to display, distribute, and promote the skill on the Platform, including through the MCP server, marketing materials, and social media.

8.2 Buyer License

Purchasing a skill grants the Buyer a personal, non-transferable, non-exclusive license to use the skill for their own personal or professional purposes. Buyers may not redistribute, resell, sublicense, or publicly share purchased skills or their contents.

8.3 Platform Content

All Platform content, including but not limited to the website design, logos, text, graphics, and software, is owned by Agensi and protected by applicable intellectual property laws. You may not copy, modify, or distribute Platform content without prior written permission.

9. Prohibited Conduct

You agree not to: upload skills containing malware, spyware, or any harmful code; use the Platform to distribute illegal content; attempt to reverse-engineer, decompile, or extract the source material of purchased skills beyond normal use; share, redistribute, or resell purchased skills; use automated tools to scrape or harvest data from the Platform beyond what is provided through the MCP server; impersonate any person or entity; interfere with the security or operation of the Platform; or create multiple accounts to circumvent refund policies, usage limits, or bans.

10. DMCA and Copyright

Agensi respects intellectual property rights. If you believe a skill listed on the Platform infringes your copyright, please submit a notice to info@agensi.io with the details outlined in our DMCA Policy. Agensi will respond to valid takedown notices in accordance with applicable law.

11. Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

12. Skill Fingerprinting and IP Protection

Every skill download is uniquely fingerprinted by embedding the Buyer's user ID into the delivered file. This allows Agensi and Creators to trace unauthorized redistribution. By downloading a skill, you acknowledge that your identity is embedded in the file and that unauthorized sharing may be traced back to your account.

13. Disclaimers

The Platform and all skills are provided "as is" and "as available" without warranties of any kind, whether express or implied. Agensi does not warrant that the Platform will be uninterrupted, error-free, or secure. Agensi does not warrant the quality, accuracy, completeness, or reliability of any skill listed on the Platform. Agensi is not responsible for any damage, data loss, or other harm resulting from the use of any skill obtained through the Platform. Creators are solely responsible for the functionality and safety of their skills.

14. Limitation of Liability

To the maximum extent permitted by law, Agensi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. Agensi's total liability for any claim arising out of these Terms shall not exceed the amount you have paid to Agensi in the 12 months preceding the claim.

15. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or your use of the Platform shall be resolved in the courts of Amsterdam, the Netherlands.

16. Changes to These Terms

Agensi may update these Terms at any time. We will notify registered users of material changes via email or Platform notification. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
