Terms of Service

    These Terms of Service ("Terms") govern your access to and use of the Agensi platform, available at agensi.io ("Platform"), operated by Agensi BV i.o., a company registered in the Netherlands ("Agensi," "we," "us," or "our").

    By creating an account, browsing the Platform, purchasing a skill, subscribing to a credit plan, purchasing credit top-ups, or listing a skill for sale, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

    1. Eligibility

    You must be at least 18 years of age to use the Platform. By using Agensi, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

    2. Accounts

    You must create an account to purchase skills, subscribe to a credit plan, purchase credit top-ups, access skills via the MCP server, or list skills for sale. You are responsible for maintaining the confidentiality of your account credentials and API keys and for all activity that occurs under your account, including activity through the MCP server using your API key. You agree to provide accurate and complete information during registration and to keep it up to date. Agensi reserves the right to suspend or terminate accounts that violate these Terms.

    3. The Marketplace

    Agensi is a marketplace that connects skill creators ("Creators") with skill users ("Buyers"). Agensi is not the author or publisher of skills listed on the Platform. Each skill is created, uploaded, and maintained by its respective Creator. Agensi provides the infrastructure for discovery, payment processing, delivery, credit-based access, MCP-based skill access, and IP protection.

    4. Credit Subscriptions and Top-Ups

    4.1 Plans and Pricing

    Agensi offers recurring credit subscriptions and one-time credit top-up packs. Two subscription tiers are available:

    • Starter: $9 per month or $90 per year (50 credits per month, 10% cheaper per credit than top-ups)
    • Pro: $19 per month or $190 per year (120 credits per month, 20% cheaper per credit than top-ups)

    One-time credit top-up packs are available to all users (with or without a subscription):

    • $5 for 25 credits
    • $15 for 85 credits (13% bonus)
    • $50 for 325 credits (30% bonus)

    Active subscribers receive a discount on top-up packs: 10% off for Starter subscribers, 20% off for Pro subscribers.

    Annual subscriptions are billed as a single payment and grant 12 months of credits. Prices are in US Dollars. Agensi reserves the right to change pricing with 30 days' notice to active subscribers.

    Enterprise plans with custom credit volumes, team seats, shared skill libraries, SSO, SCIM provisioning, and SLAs are available by contacting info@agensi.io.

    4.2 How Credits Work

    Credits can be spent on paid skills via the Agensi website or the Agensi MCP server. Each credit-based install grants permanent ownership of the skill, identical to a direct purchase. A skill's credit cost is equal to its dollar price multiplied by 5 (for example, a $5 skill costs 25 credits).

    The value per credit depends on the plan:

    • Free / Top-up (base rate): $0.20 per credit
    • Starter: $0.18 per credit (10% savings)
    • Pro: $0.16 per credit (20% savings)
    • Enterprise: from $0.12 per credit (custom)

    Credits are consumed in the following order: top-up credits (earliest expiry first), rolled-over subscription credits, then current-period subscription credits.

    Free skills do not cost credits and can be accessed without a subscription or credit balance.

    4.3 Credit Rollover and Expiry

    Unused subscription credits partially roll over at the end of each billing period: up to 15 credits for Starter, up to 35 credits for Pro. Rolled-over credits expire if not used within the following billing period. Rolled-over credits do not compound across multiple periods.

    Top-up credits expire 90 days after purchase.

    Expired credits are forfeited and are not refundable.

    4.4 MCP Server Access

    The Agensi MCP server is free to connect to. Any agent can search and preview the full skill catalog without authentication or a credit balance.

    Installing paid skills via MCP requires an API key and a credit balance (from a subscription or top-up). The API key is personal to your account and may not be shared, published, or distributed. One API key is issued per account. If Agensi detects that an API key is being shared across multiple users or systems beyond reasonable personal use, Agensi may revoke the key and suspend the account without refund.

    The MCP server is a credit-native environment. Paid skill installs via MCP are denominated in credits only. Dollar prices are not displayed on the MCP. Skills installed via MCP using credits are permanently owned, identical to a direct purchase on the website.

    Agensi makes reasonable efforts to maintain MCP server availability but does not guarantee uptime. Planned maintenance or unexpected outages may temporarily interrupt access.

    4.5 Cancellation

    You may cancel your credit subscription at any time. Upon cancellation, your subscription remains active until the end of the current billing period. Credits remain usable until the billing period ends. All skills already installed via credits remain permanently accessible. After the billing period ends, no new credits are granted and any remaining subscription credits (including rollover) expire.

    Top-up credits are unaffected by subscription cancellation and retain their original 90-day expiry.

    4.6 Renewal

    Subscriptions renew automatically at the end of each billing period unless canceled. For monthly plans, this is every month. For yearly plans, this is every 12 months. You will be charged via the payment method on file with Stripe. If a renewal payment fails, Agensi may retry the charge according to Stripe's retry schedule. If payment cannot be collected after retries, the subscription will be canceled and no new credits will be granted.

    4.7 Refunds

    Credit subscription and top-up refunds are handled on a case-by-case basis. Because credits grant immediate access to digital content, refunds are not guaranteed. If you experience a technical issue that prevents you from using your credits, contact info@agensi.io within 14 days of purchase.

    5. Individual Skill Purchases

    5.1 One-Time Purchases

    Skills may also be purchased individually as one-time direct purchases on the website, without a subscription or credit balance. Upon completing a purchase, you receive a permanent, personal, non-transferable license to download, install, and use the skill. Individual purchases are separate from credit subscriptions and are not affected by subscription status.

    5.2 Delivery

    After purchase, you will receive access to a signed, expiring download URL valid for 24 hours. You may generate a new download link at any time from your dashboard. Every download is uniquely fingerprinted (see Section 13).

    5.3 Updates

    When a Creator publishes an update to a skill you own (through direct purchase or credit install), you may download the updated version free of charge from your dashboard.

    5.4 Bundles

    Creators may offer bundles of multiple skills at a combined price. Purchasing a bundle grants you ownership of all included skills under the same license terms. If you already own one or more skills in a bundle, you may be eligible for a reduced price.

    5.5 Refunds

    Refund requests for individual purchases are handled on a case-by-case basis. Because skills are digital goods that are delivered immediately upon purchase, refunds are not guaranteed. If a skill is materially defective or does not match its listing description, you may request a refund by contacting info@agensi.io within 14 days of purchase. Agensi reserves the right to approve or deny refund requests at its sole discretion.

    6. Listing and Selling Skills

    6.1 Creator Requirements

    To list a skill for sale, you must create an account and connect a Stripe account via Stripe Connect. You may not publish a skill until your Stripe account is connected and verified.

    6.2 Skill Submission and Review

    All skills must be submitted as a zip file containing a valid SKILL.md file with the required frontmatter fields. Every uploaded skill is automatically subjected to an 8-point security scan covering file structure validation, file type screening, dangerous command pattern detection, secrets detection, environment variable harvesting analysis, network access auditing, obfuscation detection, and prompt injection screening. Each skill receives a security score from 0 to 100. Skills that fail the automated scan may be rejected or flagged for additional scrutiny. After the automated scan, Agensi reviews each submission manually before it goes live. Agensi reserves the right to reject, remove, or suspend any skill listing at its sole discretion, including for quality, safety, or policy reasons. The security scan is a best-effort measure and does not guarantee that a skill is free from all vulnerabilities, malicious patterns, or unintended behavior.

    6.3 Creator Representations

    By listing a skill, you represent and warrant that you are the original author of the skill or have all necessary rights to distribute it, the skill does not infringe upon the intellectual property rights of any third party, the skill does not contain malicious code, backdoors, or any functionality designed to harm users or their systems, and the listing description accurately describes the skill's functionality.

    6.4 Pricing and Fees

    Creators set the price for their skills. The minimum price for paid skills is $5.00. The credit cost is calculated automatically as the dollar price multiplied by 5.

    Revenue is distributed differently depending on how the buyer acquired the skill:

    • Direct purchases: Creator receives 80% minus $0.50. Agensi retains 20% plus $0.50.
    • Credit-based installs (website or MCP): Creator receives 70% of net revenue (after Stripe fees and applicable taxes). Agensi retains 30% of net revenue.

    Credit earnings are aggregated monthly and transferred to your Stripe Connect account alongside direct purchase payouts.

    6.5 MCP Distribution

    By default, all skills are discoverable via the Agensi MCP server. Creators may opt individual skills out of MCP distribution using the "Discoverable via MCP" toggle in the skill edit form. Opted-out skills are not returned in MCP search results and cannot be installed via MCP, but remain visible and purchasable on the website (via direct purchase or credits). Opting out of MCP distribution does not change the revenue split; the split is determined by whether the buyer used credits or made a direct purchase.

    Creators cannot opt individual skills out of the credit system. All paid skills on the platform are available for credit-based installs on the website.

    7. Revenue and Payouts

    7.1 Revenue Splits

    • Direct purchases: Creator 80% (minus $0.50 processing fee), Agensi 20% (plus $0.50)
    • Credit installs: Creator 70% of net revenue, Agensi 30% of net revenue
    • Expired credits (unused subscription, rollover, or top-up credits): 100% Agensi

    Net revenue means the amount received by Agensi after deduction of Stripe processing fees, applicable taxes, currency conversion fees, and chargebacks.

    7.2 Payouts

    Payouts are processed via Stripe Connect. Direct purchase payouts are processed according to Stripe's standard payout schedule. Credit install earnings are aggregated monthly and transferred to your Stripe Connect account. You can view your payout schedule and history in your Stripe Dashboard.

    8. Intellectual Property

    8.1 Skill Ownership

    Creators retain full ownership of their skills. Listing a skill on Agensi does not transfer any intellectual property rights to Agensi. By listing a skill, you grant Agensi a non-exclusive, worldwide license to display, distribute, and deliver the skill through the Platform and MCP server for the purpose of operating the marketplace.

    8.2 Buyer License

    When you acquire a skill (through direct purchase or credit install), you receive a permanent, personal, non-transferable license to use the skill. You may not redistribute, resell, sublicense, or share the skill or its contents.

    8.3 Fingerprinting

    Every skill download is uniquely fingerprinted with a buyer-specific identifier embedded in the SKILL.md frontmatter. This fingerprint enables Creators to identify and report unauthorized redistribution. See our DMCA Policy for enforcement procedures.

    9. Prohibited Conduct

    You agree not to: redistribute, resell, or share purchased skills; circumvent or attempt to circumvent security measures, download protections, or fingerprinting; use the Platform or MCP server for any unlawful purpose; upload skills containing malicious code, backdoors, or harmful functionality; create multiple accounts to abuse free tiers, referral programs, or credit systems; share API keys with other users or systems; use automated tools to scrape, copy, or extract skill content at scale; or engage in any activity that disrupts the Platform or harms other users.

    10. Limitation of Liability

    To the maximum extent permitted by law, Agensi is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, revenue, or profits. Agensi's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to Agensi in the 12 months preceding the claim.

    11. Disclaimer of Warranties

    The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Agensi does not warrant that the Platform will be uninterrupted, error-free, or secure. Agensi does not endorse, guarantee, or assume responsibility for any skill listed by Creators. Skills are provided by independent Creators and may contain errors, inaccuracies, or defects.

    12. Termination

    Agensi may suspend or terminate your account at any time for violation of these Terms, without prior notice. Upon termination, your right to use the Platform ceases immediately. Skills you own (through direct purchase or credit install) remain accessible for download for a reasonable period after termination, subject to Agensi's discretion.

    13. Governing Law and Disputes

    These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or your use of the Platform shall be submitted to the competent courts of Amsterdam, the Netherlands. If you are a consumer in the European Union, you may also have the right to submit disputes to the Online Dispute Resolution platform at ec.europa.eu/odr.

    14. Changes to These Terms

    Agensi may update these Terms at any time by posting the revised version on this page and updating the "Last updated" date. Material changes will be communicated to affected users. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
