Why it is built this way

Serious without overclaiming. One line on background and an accurate financing statement. I left [FINANCING STATUS] as a bracket on purpose: do not write "fully funded" unless a lender has said so in writing.

Only what this stage needs. Teaser first, then CIM and financials as an optional second ask. I did not request customer names, contracts, the licence file or tax returns. Those come after the CIM and NDA.

• No valuation or terms. The message says nothing about price, structure or timing of an offer.
• Easy to say yes. The NDA is offered in both directions, with a stated turnaround.

Before you send

• Confirm the broker's name and whether he asked for the NDA through a portal.
• Replace every [bracket]. Nothing in the draft states a fact about the target beyond what the broker told you.
