SaaS agreement review checklist

Service and availability

Check scope, support hours, maintenance, service levels, credits and exclusions. Confirm the service matches the intended workflow.

Data and privacy

Identify data categories, processing roles, subprocessors, location, retention, deletion, export, breach notice and audit rights. Cross-check the DPA and privacy notice.

Security

Review access controls, encryption, incident response, vulnerability management, backups, recovery objectives and evidence cadence. Route technical claims to security.

Commercial terms

Confirm price basis, usage limits, overages, taxes, renewal uplift, notice period, invoice timing and suspension rights.

Exit and risk

Check termination rights, transition assistance, data export format, deletion certification, IP ownership, indemnities, liability caps and dispute forum.

Questions for review

Flag unclear terms, conflicts between documents, one-sided change rights and missing operational commitments. Do not characterize enforceability.

Outcome

Produce a clause/source table with issue, business impact, owner and question for legal or security counsel. Review the executed version before relying on the summary.

Measurement and review

Record the baseline, source, date range, denominator and owner. Use one primary measure plus quality guardrails; compare like-for-like cohorts and disclose missing data. Treat estimates as scenarios, not observed outcomes.

Risks and controls

Check relevance, consent, disclosure, workload and downside before scaling. Keep an evidence trail, obtain human review for material commitments, and pause if trust, quality or compliance signals deteriorate.
