Use the Management-Meeting Prep skill. I have 90 minutes with the founder of Sentinel Fire & Safety, Inc. (Project Sentinel), in person at his office. I have read the CIM, the financial statements, the tax return and my notes from an earlier call. My open questions and red flags are below.
Red flags: Northgate is about 22% of revenue although the CIM says no customer is above 15% (CIM p.8 and p.9). All work runs under his personal licence (CIM p.14). Add-backs are $340,000 on $1.08M reported EBITDA (FS p.4). TTM revenue $6.21M vs $5.95M tax receipts. Data export from the 2009 system is untested (CIM p.16). Change-of-control provisions have not been reviewed (CIM p.19).
Earlier call quotes: "we're well diversified, nobody's over fifteen percent", "that legal thing was a one-time matter, it's behind us", "exporting the data out is no problem at all".

Management meeting prep: 90 minutes with the founder
Deal-critical (DC) means the answer can end the deal.
1. Agenda
| Time | Topic |
|---|---|
| 0 to 10 | His story: why sell, why now, what he does day to day |
| 10 to 30 | Northgate and the customer base (DC) |
| 30 to 45 | The licence and the handover (DC) |
| 45 to 65 | Earnings: the four add-backs, the revenue gap (DC) |
| 65 to 80 | Systems and data, contracts and change of control |
| 80 to 90 | Walk-through request, next steps, what he will send |
2. The questions that matter, with follow-ups
Northgate (DC). "Walk me through the Northgate relationship: term, renewal date, who signs, who holds the relationship." If vague: "Is there a clause that lets them terminate or requires consent on a sale? Can I see it this week?" Context: $1,366,000, about 22% (CIM p.9).
Concentration claim. "The CIM says no customer is above 15% and also shows 22%. Which is right?" If he stays on "well diversified": "Then how many accounts are above 10%?"
Licence (DC). "If you step back, who can hold the licence? What does the state require to transfer or replace it, and how long does that take?" If vague: "Have you spoken to the licensing board about a buyer?" (CIM p.14).
Add-backs (DC). "What is your total compensation, and what would a manager cost?" for the $210,000. For the $65,000: "What was the settlement, when was it booked, and is anything related still open?" For the $41,000 and $24,000: "Can I see the ledger lines?" (FS p.4).
Revenue gap. "TTM is $6.21M and the 2025 return shows $5.95M. Which twelve months is each, and what explains $260,000?"
Systems. "Has anyone ever run a full export from the 2009 system?" If "no problem": "Can we do a test export before signing?" (CIM p.16).
3. What to listen for
- "Behind us" or "one-time" about the settlement, with no document offered (Call p.1).
- "Well diversified" repeated without account numbers.
- "No problem at all" on data export from a system the CIM says was never tested.
- Every customer answer routed through him personally: a sign the relationships are his.
- Impatience on the add-backs. He has to defend them; the seller's own statement says each "should be independently assessed" (FS p.4).
4. What to see or verify in person
- The licence document itself, on the wall or in the file.
- A live screen of the 2009 system, and a sample inspection record.
- The Northgate agreement, or a refusal to show it.
- How the operations manager and office administrator talk about the founder's role (CIM p.13).
- Technician certifications, in a sample.
Reminders
Do not discuss price. Do not accept a verbal answer on a DC item; ask for the document and a date.
This is an analytical aid and not investment, legal, tax or accounting advice. The Project Sentinel documents are synthetic test data.
Connects securely to your tools. The creator never sees your data.
