Use the Comps Finder skill. Frame a valuation range for Project Sentinel (Sentinel Fire & Safety, Inc.) before I negotiate. From the documents: TTM revenue $6.21M (CIM p.6); reported EBITDA $1.08M and adjusted $1.42M (FS p.4); growth $5.34M to $5.78M to $6.21M (FS p.2); 78% recurring on a broad definition (CIM p.22); Northgate about 22% (CIM p.9); founder-held licence (CIM p.14); unaudited statements. No asking price. I understand this will not pull real comparable sales.

    Valuation range: Project Sentinel

Limit up front: I do not search for or pull real comparable transactions. The ranges below are general benchmark reasoning, my estimate, not a market appraisal, not a guarantee of price. Challenge every step.

    1. Approach

Multiple of EBITDA. It is a profitable, owner-run services business with positive earnings, and buyers at this size price on earnings. Revenue multiple is a cross-check only. SDE (seller's discretionary earnings) is the wrong lens: the business has an operations manager and an office administrator (CIM p.13), so it is bigger than an owner-operator job.

    Which EBITDA:

    • Reported: $1.08M (FS p.4).
    • Underwriting: $1.21M, which is adjusted EBITDA less the $210,000 owner add-back (mine). I would use this, because a buyer must replace the founder's work.
    • Seller-adjusted: $1.42M. Use only after the add-backs are documented.

    2. A reasoned multiple range

Working band for a business of this size and profile: roughly 3.5x to 5.5x EBITDA (estimate).

Low end: concentration (Northgate 22%, top ten about 61%, CIM p.9), licence in the founder's name (CIM p.14), unaudited statements (FS p.5), recurring defined broadly (CIM p.22), untested data export (CIM p.16).

High end: code-driven demand (CIM p.5), 78% of revenue on agreements, growth of 8.2% and 7.4% (FS p.2; mine), a long operating history (CIM p.3).

    3. Where this business likely sits

Lower half, about 3.5x to 4.5x on underwriting EBITDA.

    BasisEBITDA3.5x4.5x5.5x
    Reported$1.08M$3.78M$4.86M$5.94M
    Underwriting$1.21M$4.23M$5.45M$6.65M
    Seller-adjusted$1.42M$4.97M$6.39M$7.81M

On underwriting EBITDA, 3.5x to 4.5x is $4.2M to $5.4M, which is 0.68x to 0.88x of TTM revenue (mine). All figures in millions are rounded.

    4. What would move the number most

Northgate's contract: a long, assignable agreement would support the upper part; an at-will one pulls toward 3.5x.
    2. Licence transfer path and a transition period from the founder.
    3. Proof of the add-backs, especially the $210,000 and the $65,000.
    4. Reconciling $6.21M to the $5.95M tax receipts (Tax p.1).
    5. Margins, cash flow and capex, none of which are in the materials.

Missing: asking price, cost detail, balance sheet amounts. The range depends on them.

This is an analytical aid and not investment, legal, tax or accounting advice, and not a market appraisal. The Project Sentinel documents are synthetic test data.

    About this skill

Frame a sensible valuation range with the logic shown, the right approach (EBITDA / SDE / revenue), a reasoned multiple range, where this business sits, and what moves the number. Use when you need a rough value before negotiating, or when asked to 'what's this worth', 'frame a valuation range', or 'what multiple is fair'.

    Known limitations

It does not search for real comparable sales or pull transaction data. It reasons from the profile you give it and general benchmarks, so treat the range as a starting point to challenge. It does not search for real comparable sales or pull transaction data.
