Commercial Due Diligence Sprint

Fictional training scenario; no real client data.
Use $commercial-due-diligence-sprint to frame a ten-day diligence of a £70m-revenue vertical SaaS target serving UK dental groups. The thesis is 20% growth through multi-site expansion. We have management data but no customer interviews yet.
- Read your context and instructions

Fictional worked illustration from the public repository, not a recorded agent run or a verified client outcome. Any additional figures, thresholds and market signals are scenario assumptions, not observed results. No generated PDF or finished deck is included.

Provisional answer
Continue diligence, but do not underwrite 20% growth until site-level retention, group rollout behavior, and implementation capacity are validated. The most decision-sensitive question is whether signed groups convert additional sites fast enough to offset mature-site saturation.
Critical hypotheses
| Hypothesis | Minimum evidence | Status | Deal implication |
|---|---|---|---|
| Multi-site rollout sustains growth | Cohorts by group, contracted sites, activated sites, and time to rollout | Missing | Could reduce growth case and valuation |
| Product is embedded enough to retain | GRR/NRR by cohort plus 8–10 customer interviews | Directional | Determines downside resilience |
| Implementation can support growth | Backlog, time-to-live, staffing, and churn during onboarding | Missing | May require investment and slower plan |
| Pricing has headroom | Discount history, renewal uplift, win/loss interviews | Unconfirmed | Potential upside, not base case |
Ten-day workplan
- Days 0–2: reconcile recurring revenue, sites, customers, and cohort definitions; issue data request.
- Days 2–6: analyze cohorts and pipeline; complete 10 customers, 5 lost prospects, and 4 expert calls.
- Days 5–8: test competitors, pricing, implementation capacity, and downside scenarios.
- Days 8–10: synthesize IC memo, valuation sensitivities, red flags, and post-close priorities.
Kill criteria
- Mature-cohort gross retention below 85% without a fixable cause.
- More than 30% of forecast growth depends on unsigned sites inside existing groups.
- Implementation capacity cannot support the base plan within the required investment envelope.
- Revenue or site definitions cannot be reconciled to billing data.
IC decision gate
Revisit price if normalized growth falls below 12%, if net retention is below 100%, or if incremental implementation investment reduces the target return below the fund hurdle.
